1. Grant
AKMFlow grants the customer a non-exclusive, non-transferable right to use AKMFlow for its own internal warehouse and materials operations, for the licensed term and within the licensed entitlements.
2. Entitlements
A licence is measured across named users, warehouses, SKUs, transaction volume, storage and enabled module flags. Entitlements are recorded on the licence and enforced by the system.
3. Term, grace and renewal
Licences run for a fixed term. After expiry, a grace period allows continued operation while renewal is completed. If renewal does not complete, the workspace enters restricted mode, where daily operations continue but growth actions are blocked, and subsequently suspended mode.
4. Offline validation
The Windows desktop client carries a signed entitlement snapshot so it can continue operating through short periods without connectivity. The snapshot must be refreshed by reconnecting within the stated window.
5. Restrictions
The customer may not reverse engineer, resell, sublicense or provide service-bureau access to AKMFlow, nor circumvent licence enforcement or entitlement measurement.
6. Audit of usage
Usage against entitlements is measured by the system itself. Where measured usage exceeds the licence, the parties will agree an adjustment for the remainder of the term.
7. Data on termination
On termination or suspension, customer data is retained for the agreed period and remains exportable before deletion.
